IN NO EVENT SHALL TACO TIME'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE OR SERVICES EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS ($100.00) OR (B) THE TOTAL AMOUNT PAID BY YOU TO TACO TIME IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

THE FOREGOING LIMITATIONS APPLY WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS, AND EVEN IF TACO TIME HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.

Some states, including California and others, do not allow the exclusion or limitation of incidental or consequential damages, so some of the above limitations may not apply to residents of those states to the extent prohibited by applicable law.

10. Indemnification

You agree to defend, indemnify, and hold harmless Taco Time, its affiliates, licensors, service providers, employees, agents, officers, directors, and successors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

14. Dispute Resolution

14.1 Informal Resolution

The arbitration shall be conducted under the Commercial Arbitration Rules of the American Arbitration Association (AAA) then in effect. The arbitrator shall apply the substantive law of the applicable state and federal law as described in Section 13.

The arbitration shall take place in a mutually agreed location within the United States, or via remote means if agreed by the parties. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

14.3 Class Action Waiver

TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AND TACO TIME AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION. Unless both you and Taco Time agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

14.4 Small Claims Court

Notwithstanding the foregoing, either party may bring an individual claim in small claims court if the claim is within the jurisdictional limits of such court and is brought on an individual, non-class basis.

15. Term and Termination

These Terms shall remain in full force and effect for as long as you use the Site or maintain an account with us. We may, in our sole discretion, terminate or suspend your access to all or part of the Site or services, including any account you may have, at any time and for any reason, with or without notice, including but not limited to:

18. Entire Agreement

These Terms of Service, together with our Privacy Policy and any other legal notices published by us on the Site, constitute the entire agreement between you and Taco Time with respect to your use of the Site and services, and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to the Site.

In the event of a Force Majeure Event, we will use commercially reasonable efforts to resume performance as soon as practicable and will notify affected customers of the situation and expected timeline for resumption of services.
